These Terms & Conditions ("Terms") govern your access to and use of the WhatsMark Service operated
by Corbital Technologies LLP ("WhatsMark", "we", "us"). By creating an account or using the
Service, you agree to these Terms, our Privacy Policy, Cookie Policy, Fair Use Policy, and
Refund & Cancellation Policy, which are incorporated by reference.
3.1 Eligibility & account
You must be at least 18 years old and capable of forming a binding contract.
You are responsible for the accuracy of your registration details and for all activity under your
account, including keeping credentials confidential.One person/entity may not maintain multiple accounts to circumvent limits or bans without our consent.
3.2 The Service
WhatsMark provides tools to manage WhatsApp Business communication โ contacts, message templates,
campaigns, automation flows, chat, and related analytics โ built on top of the WhatsApp Business
Platform provided by Meta.
3.3 WhatsApp & Meta compliance (important)
Your use of the Service is additionally and independently subject to Meta's terms, including the
WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy, and WhatsApp Commerce
Policy. You acknowledge and agree that:
Opt-in is mandatory. You must obtain and maintain valid opt-in consent from every recipient
before messaging them, and honour opt-out requests promptly.Template approval rests with Meta. WhatsApp message templates are approved, rejected, paused, or
disabled at Meta's sole discretion. We do not control and are not responsible for template
decisions.Messaging limits and quality ratings are set and enforced by Meta. Your phone number's messaging
tier and quality rating may change based on recipient behaviour (blocks/reports).Number bans / restrictions. Meta may restrict, suspend, or ban your WhatsApp number or WABA for
policy violations. We are not liable for any such action taken by Meta.24-hour customer-service window. Outside the 24-hour window from a user's last message, only
approved template messages may be sent, per Meta's rules.
Violation of Meta's policies is also a violation of these Terms and our Fair Use Policy.
3.4 Fees, billing & taxes
Paid plans are billed in advance on a recurring (monthly/annual) basis. Depending on your location
and chosen payment method, you may be charged in Indian Rupees (INR) through our domestic payment
gateway, or in US Dollars (USD) through Paddle.For INR payments, GST and other applicable Indian taxes will be added to the fees and shown
on your tax invoice issued by Corbital Technologies LLP.For USD payments, Paddle.com acts as the Merchant of Record (reseller). This means your contract
for that purchase is with Paddle, Paddle's terms and privacy policy additionally apply, and Paddle is
responsible for charging and remitting any applicable sales tax / VAT and for issuing the invoice for
that transaction.Subscriptions auto-renew at the end of each billing cycle unless cancelled before renewal.
Conversation/message charges levied by Meta (where passed through) and any usage-based credits are
consumed as used and are non-refundable (see the Refund & Cancellation Policy).We may change pricing with prior notice; changes apply from your next billing cycle.
3.5 Acceptable use
You agree to use the Service only for lawful purposes and in accordance with our Fair Use Policy.
Prohibited conduct includes spam, sending messages without consent, unlawful or deceptive content, and
abuse of the platform. Breach may result in suspension or termination without refund.
3.6 Your content & data
You retain ownership of the content, contacts, and data you upload ("Customer Data").
You grant us a limited licence to host, process, and transmit Customer Data solely to provide the
Service.You represent that you have all rights and consents necessary for the Customer Data you upload and
the messages you send.
3.7 Intellectual property
The Service, including its software, design, and trademarks, is owned by Corbital Technologies LLP and its
licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the
Service per these Terms. You may not copy, modify, reverse-engineer, resell, or create derivative works
except as expressly permitted.
3.8 Third-party services
The Service integrates with third parties (e.g. Meta, payment gateways, AI providers). Your use of
those services is governed by their respective terms, and we are not responsible for their acts,
omissions, or availability.
3.9 Suspension & termination
We may suspend or terminate your access, with or without notice, if you:
breach these Terms, the Fair Use Policy, or Meta's policies;
fail to pay fees when due;
use the Service unlawfully or in a way that risks harm to others, the platform, or our standing with
Meta.
You may cancel at any time per the Refund & Cancellation Policy. On termination, your right to use the
Service ends and we may delete your data after a reasonable retention period.
3.10 Disclaimers & limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind. We do not
warrant uninterrupted or error-free operation, or any specific message-delivery outcome, which
depends on Meta and recipient networks.To the maximum extent permitted by law, our total aggregate liability for any claim arising out
of or related to the Service shall not exceed the fees you paid to us in the three (3) months
preceding the event giving rise to the claim.We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss
of profits, data, goodwill, or business, or for actions taken by Meta against your account/number.
3.11 Indemnification
You agree to indemnify and hold harmless Corbital Technologies LLP, its officers, and employees from any
claims, damages, or expenses arising out of your Customer Data, your messages, your breach of these
Terms, or your violation of any law or third-party rights (including Meta's policies).
3.12 Governing law & dispute resolution
These Terms are governed by the laws of India. Subject to the arbitration clause below, the courts
at Rajkot, Gujarat shall have exclusive jurisdiction. Any dispute shall be
referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996,
with the seat and venue at Rajkot, India, conducted in English.
3.13 Changes to these Terms
We may revise these Terms from time to time. Material changes will be notified through the Service or by
email. Continued use after the effective date constitutes acceptance.
